Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Solvr Labs LLC ("Solvr Labs," "we," "our," or "us"), governing your access to and use of the TaskLine platform, including our website, applications, APIs, SMS/text messaging features, AI-powered tools, payment processing, scheduling features, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Definitions

"Service" means the TaskLine platform and all associated features, tools, APIs, websites, and applications operated by Solvr Labs LLC.

"User" means any individual who creates an account on the Service, including freelancers, agencies, and business owners who use the platform to manage their client relationships.

"Client" means any individual or entity whose information is entered into the Service by a User, including recipients of invoices, project participants, booking customers, and SMS message recipients.

"Client Data" means all information about Clients that is entered into, stored in, or generated through the Service by a User.

"User Content" means all content, data, materials, and information that a User uploads, submits, posts, or otherwise provides through the Service, including but not limited to project descriptions, task details, invoice content, messages, media files, and business information.

"Subscription" means a paid plan that provides access to premium features of the Service.

3. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. Users between the ages of 13 and 17 may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these age requirements.

To access certain features, you must register for an account by providing accurate, current, and complete information, including your full name, email address, date of birth, and password. You agree to update your information promptly if it changes.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You are responsible for all activities that occur under your account, whether or not you authorized them. You must notify us immediately at jessy@solvrlabs.com if you become aware of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information, are operated by users who do not meet the eligibility requirements, or are being used in violation of these Terms.

4. Description of Services

TaskLine provides a comprehensive client management platform designed for freelancers and agencies. The Service includes, but is not limited to, the following features:

• Client relationship management (CRM) with contact information, addresses, and communication history • Project and task management with status tracking, deadlines, and approval workflows • Invoicing and payment processing, including online payment collection through integrated payment processors • Appointment scheduling and booking management with calendar integration • SMS/text messaging and email communications with clients • AI-powered request analysis and project recommendations • QR code generation for service request forms • Service request intake and management • File upload and media management • Multi-language support (English and Spanish)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that may significantly affect your use of the Service.

5. Subscription Plans and Billing

The TaskLine platform itself is free for all users, with no subscription required. All core features — unlimited clients, projects, tasks, invoices, scheduling, client portal, Kanban task management, and payment processing via Stripe Connect — are available at no cost.

The TaskLine AI Agent (our 24/7 AI receptionist) is available in three optional tiers. Higher tiers reduce the platform fee charged on AI-sourced jobs and raise the monthly voice message budget:

• Radar (free): $0/month. 2.5% platform fee on AI-sourced jobs. Includes up to 200 voice assistant messages per month. • Pro: $25/month ($20/month when billed annually). 2.25% platform fee on AI-sourced jobs. Includes up to 600 voice assistant messages per month. • Max: $60/month ($50/month when billed annually). 2.0% platform fee on AI-sourced jobs. Includes up to 2,000 voice assistant messages per month.

By subscribing to a paid AI tier (Pro or Max), you agree to the following:

• Recurring billing: Paid AI tier subscriptions are billed on a recurring monthly or annual basis. By subscribing, you authorize us to charge your designated payment method on each billing cycle until you cancel. • Automatic renewal: Your AI tier subscription will automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date. • Price changes: We may change AI tier prices at any time. Price changes will take effect at the start of your next billing cycle following notice of the change. Your continued use of the paid AI tier after a price change constitutes your acceptance of the new price. • Taxes: AI tier fees are exclusive of applicable taxes, levies, and duties. You are responsible for paying all applicable taxes associated with your AI tier subscription. • Platform fee on AI-sourced jobs: Regardless of tier, when the TaskLine AI Agent assists on a job (for example, captures a lead, drafts the quote, or books the appointment) and the client pays the resulting invoice, a platform fee at your tier's rate is collected from the freelancer's Stripe Connect account via Stripe's `application_fee_amount` mechanism. • Base platform fee: While the TaskLine AI Agent is active on your account, a 0.6% base platform fee also applies to non-AI invoices to help cover SMS infrastructure and related platform costs. • Voice message limits: Each AI tier includes a monthly cap on voice assistant messages. Exceeding the cap will pause voice features until the next billing cycle or until you upgrade to a higher tier.

6. Free Platform

The TaskLine platform is free for everyone, with no trial period and no expiration. You can create an account, add clients, manage projects, send invoices, accept payments (subject to Stripe Connect fees), schedule appointments, and use the core platform at no cost, indefinitely.

The TaskLine AI Agent is also available on a free tier (Radar) with no subscription required. Paid AI tiers (Pro and Max) are entirely optional and provide reduced platform fee rates and higher voice message budgets as described in Section 5. You may activate or cancel any paid AI tier at any time, with changes taking effect at the end of the current billing cycle.

No credit card is required to create an account or to enable the free Radar tier of the TaskLine AI Agent. A connected Stripe Connect account is required to accept payments from clients and, if the AI Agent is active, to support the platform fee model described in Section 7.

From time to time we may offer limited-time promotional pricing or special programs for paid AI tiers. Any such offers will be subject to additional terms and conditions presented at the time of the offer.

7. Payment Processing

All payment processing for the Service is handled by Stripe, Inc. ("Stripe"). By making or accepting a payment through the Service, you agree to Stripe's terms of service and privacy policy.

• No card required to start: Creating a TaskLine account and using the free platform, including the free tier of the TaskLine AI Agent, does not require a credit card. A connected Stripe Connect Express account is required to accept client invoice payments and, if the AI Agent is active, to participate in the platform fee model described below. • Stripe Connect Express for freelancer payouts: To accept client payments through TaskLine, you must complete Stripe Connect Express onboarding. Stripe collects identity, tax, and banking information directly and manages your payout schedule, holds, and reserves according to its own terms. TaskLine does not set or control your payout timing. • Platform fee on AI-sourced jobs: When the TaskLine AI Agent assists on a job — for example, by capturing the lead, drafting the quote, or booking the appointment — we collect a platform fee at the time your client pays the resulting invoice. The fee is charged as a Stripe `application_fee_amount` to your connected account and is deducted from your payout by Stripe. The platform fee rate depends on your AI tier: 2.5% (Radar), 2.25% (Pro), or 2.0% (Max). There is no per-job cap. • Base platform fee when AI Agent is active: While the TaskLine AI Agent is active on your account, a 0.6% base platform fee also applies to non-AI invoices, collected the same way via `application_fee_amount`. This fee helps cover SMS infrastructure and related platform costs and does not apply while the AI Agent is disabled. • Stripe processing fees: Stripe's standard payment processing fees apply to all client payments regardless of AI tier. You may optionally configure TaskLine to pass these processing fees through to your clients on invoices. • Paid AI tier subscriptions (Pro and Max): Subscription fees for optional paid AI tiers are generally non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or downgrades. Refunds may be issued at our sole discretion in exceptional circumstances or as required by applicable law. • Failed payments: If a subscription payment fails, we may retry the charge and/or suspend access to paid AI tier features (including the platform fee rate and voice message cap associated with that tier) until payment succeeds. Your account will revert to the free Radar tier or to the AI Agent being disabled, depending on your settings. • Chargebacks and disputes: If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to suspend your account pending resolution. Repeated chargebacks may result in account termination. • Currency: AI tier subscription fees are charged in US Dollars (USD) unless otherwise specified. Client invoice payments between Users and their Clients may be denominated in other supported currencies.

8. Cancellation and Downgrade

Because the TaskLine platform is free, "cancellation" for TaskLine means one or more of the following actions, which you can take at any time:

• Disable the TaskLine AI Agent: You may disable the AI Agent at any time from your TaskLine settings. Once disabled, the Agent will stop handling inbound calls, messages, and follow-ups on your behalf. No further platform fee will be charged on new jobs, and the 0.6% base platform fee will no longer apply to non-AI invoices. Platform fees on jobs already invoiced before the Agent was disabled remain payable when the client pays. • Downgrade your AI tier: You may switch between the Radar (free), Pro, and Max tiers at any time. Upgrades generally take effect immediately with prorated billing handled by Stripe. Downgrades from a paid tier take effect at the end of the current billing cycle; no prorated refunds will be issued for the remaining portion of the billing period. After a downgrade, the platform fee rate and voice message cap associated with the new tier will apply going forward. • Cancel a paid AI tier: You may cancel your Pro or Max subscription at any time through the Stripe customer portal accessible from the Service's Settings page. Your paid AI tier will remain active until the end of your current billing period, after which your account will revert to the free Radar tier unless you also disable the AI Agent. • Delete your account: You may delete your account entirely through Settings > Account, which will permanently remove your account and associated data as described in our Privacy Policy. Account deletion also cancels any active AI tier subscription and disables the AI Agent. Some data may be retained beyond account deletion as required by law, tax regulations, or for SMS consent recordkeeping — see the Privacy Policy for details.

In all cases, your underlying business data (clients, projects, invoices, tasks, bookings) remains accessible to you while your TaskLine account is active, regardless of AI tier.

9. SMS/Text Messaging Consent

By providing a mobile phone number through the Service—whether as a User or as a Client whose number is entered by a User—the phone number holder expressly consents to receive recurring automated SMS/text messages from their service provider, sent via the Solvr Labs LLC platform (TaskLine).

These messages may include project updates, task status notifications, invoice reminders and payment confirmations, appointment confirmations, reminders, and cancellations, service request follow-ups and communications, account security notifications, and other transactional messages related to the services provided through the platform.

You understand and agree that: (a) consent to receive text messages is not a condition of purchasing any goods or services; (b) you may revoke consent at any time as described in the Opt-Out section; (c) by consenting, you agree to receive messages sent by an automated telephone dialing system; and (d) you are the owner or authorized user of the mobile phone number provided.

10. SMS Message Frequency and Rates

Message frequency varies based on account activity, the services being provided, and user-configured notification preferences. There is no fixed maximum number of messages per month, as frequency depends on the volume of projects, tasks, invoices, bookings, and other activities managed through the Service.

Message and data rates may apply depending on your mobile carrier plan. Solvr Labs LLC is not responsible for any messaging or data charges imposed by your wireless carrier. Contact your carrier for details about your messaging plan and rates.

11. SMS Opt-Out

You can opt out of receiving SMS/text messages at any time by replying any of the following keywords to any message received via this platform: STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT.

Upon receiving your opt-out request, we will send a single confirmation message and no further messages will be sent to that number unless the recipient re-opts in.

Users (freelancers/agencies) are responsible for ensuring that they only send SMS messages through the Service to Clients who have provided valid consent. Sending unsolicited messages or messages to opted-out recipients is a violation of these Terms and may result in account suspension or termination.

12. SMS Carrier Disclaimer

Solvr Labs LLC (TaskLine) and mobile carriers (including but not limited to T-Mobile, AT&T, Verizon, Sprint, and all other carriers) are not liable for delayed, undelivered, or misdirected messages. Message delivery is subject to effective transmission by the recipient's mobile carrier and may be affected by network conditions, device settings, carrier policies, and other factors outside our control.

Carriers are not responsible for the content, accuracy, or timeliness of messages sent through the Solvr Labs LLC platform. Carrier participation and availability may vary and are subject to change without notice.

13. AI-Powered Features

The Service includes AI-powered features collectively branded as TaskLine AI, including the TaskLine AI Agent (a 24/7 AI receptionist that handles inbound calls, messaging, missed-call follow-up, quote drafting, and invoice follow-ups), voice dictation for hands-free entry of invoices, quotes, and notes, AI-generated project proposals, and analysis of inbound service requests.

These features are powered by a combination of third-party AI providers:

• Anthropic (Claude): analysis, agent reasoning, quote drafting, proposal generation, and conversational responses. • OpenAI (Whisper API): speech-to-text transcription for voice dictation and audio captured by the AI Agent. • Retell AI: inbound voice call handling, including live speech recognition and conversational turn-taking. • ElevenLabs: text-to-speech voice generation for spoken responses.

By using TaskLine AI features, you acknowledge and agree that:

• AI-generated content — including analysis summaries, quotes, proposals, call transcripts, and Agent replies — is provided for informational and assistive purposes only and does not constitute professional, legal, financial, medical, or expert advice of any kind. • AI outputs may contain errors, inaccuracies, hallucinations, or omissions. You are solely responsible for reviewing, verifying, and approving any AI-generated content before relying on it or sharing it with Clients or third parties. • We do not guarantee the accuracy, completeness, reliability, suitability, or timeliness of any AI-generated content, including anything said by the TaskLine AI Agent on a call. • AI features may be modified, suspended, or discontinued at any time without notice. Individual third-party AI providers may also experience outages outside our control. • Your use of AI features is subject to the voice message cap and any other limits of your AI tier (Radar, Pro, or Max) as described in Section 5. • Content you submit for AI processing (including service request details, client information, custom instructions, phone audio, and voice recordings) may be transmitted to the AI providers listed above for processing. None of these providers train their models on your data under their respective terms applicable to our API usage. • You will not use AI features to generate content or conduct conversations that are harmful, deceptive, discriminatory, illegal, harassing, or in violation of these Terms or any applicable law.

Access to the AI Agent and Other Free Features: The TaskLine AI Agent and any other free or optional features made available to you are provided as a complimentary courtesy at no charge. Solvr Labs reserves the right, at its sole discretion, to grant, modify, restrict, suspend, or revoke access to the AI Agent and any other free or optional features for any user at any time, with or without notice or cause, including but not limited to decisions based on usage levels, account activity, processed payment volume, platform operating costs, or capacity constraints. Removal of access to free or optional features will not affect your account, your client data, your invoices, your payment processing, or any other core platform functionality. Your data remains yours and accessible.

14. User Content and Data Ownership

You retain all ownership rights to the User Content and Client Data you submit through the Service. We do not claim ownership of your content.

By submitting User Content to the Service, you grant Solvr Labs a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, display, reproduce, and transmit your User Content solely for the purpose of operating, maintaining, and providing the Service to you. This license terminates when you delete your content or your account, except to the extent that content has been shared with or delivered to third parties (such as invoices sent to Clients or SMS messages delivered to recipients).

You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit your User Content; (b) your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party; and (c) your User Content complies with these Terms and all applicable laws.

15. Client Data and Data Controller Responsibilities

When you use the Service to manage Client relationships, you act as the data controller (or equivalent role under applicable law) for the Client Data you enter into the Service. Solvr Labs acts as a data processor, processing Client Data on your behalf and in accordance with your instructions as implemented through the Service.

As the data controller, you are responsible for:

• Obtaining all necessary consents and authorizations from your Clients before entering their Personal Information into the Service, including consent for SMS communications • Ensuring that your collection and use of Client Data complies with all applicable privacy laws, including but not limited to GDPR, CCPA, TCPA, and CAN-SPAM • Responding to your Clients' requests regarding their Personal Information (access, correction, deletion, etc.) • Providing your Clients with appropriate privacy notices about how their information will be processed through the Service • Ensuring that SMS messages sent through the Service are only sent to Clients who have provided valid, documented consent

We will process Client Data in accordance with our Privacy Policy, these Terms, and applicable law. We will not use Client Data for any purpose other than providing the Service to you.

16. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will use the Service in a manner consistent with its intended purpose as a professional client management platform for freelancers and agencies.

You agree not to use the Service, including the TaskLine AI Agent and any voice, SMS, or messaging features, in any way that: (a) violates any applicable federal, state, local, or international law or regulation; (b) infringes upon or violates the rights of any third party; (c) is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (d) involves the transmission of unsolicited commercial messages (spam) via SMS, Linq, email, voice, or any other communication channel; (e) interferes with or disrupts the operation of the Service or the servers or networks connected to the Service; or (f) attempts to circumvent voice message caps, rate limits, platform fees, or other controls.

In addition, with respect to the TaskLine AI Agent and voice, messaging, and calling features specifically, you agree that you will not:

• Configure or use the TaskLine AI Agent to impersonate any person or entity other than your own business, or to misrepresent the AI Agent as a human when a caller or recipient reasonably asks whether they are speaking with a person. • Use voice calling features (including AI-assisted outbound follow-up, if and when offered) to initiate unsolicited telemarketing calls, robocalls, or any calls that would violate the Telephone Consumer Protection Act (TCPA), Do-Not-Call regulations, or similar laws in your jurisdiction. • Send SMS, Linq messages, or emails to any individual who has not provided valid consent, or to any individual who has previously opted out, used a STOP keyword, or otherwise requested not to be contacted. You are responsible for honoring all opt-out and revocation requests immediately. • Use voice dictation or transcription features to record or transcribe conversations without the consent required by the laws of the jurisdictions of all parties to the conversation. • Use the AI Agent, voice features, or messaging features to harass, intimidate, defraud, or deceive any person, or to collect, solicit, or transmit sensitive personal information (such as payment card numbers, government identifiers, or health information) outside of the purpose-built and secured flows provided by the Service.

17. AI Agent Eligibility

AI Agent Free Access Is Discretionary. Free access to the TaskLine Agent is a benefit we extend at our discretion to active users of the platform. We may revoke free AI Agent access from accounts whose platform revenue is consistently low, so we can offer that capacity to other users who rely on it more.

External Invoicing While AI Agent Is Enabled Is Not Permitted. While AI Agent is enabled on your account, all invoicing for jobs the agent helps you book or service must run through TaskLine. Routing payments outside of TaskLine — for example, taking the lead through AI Agent and then invoicing the client through a separate tool — violates these terms and may result in revocation of your AI Agent access. We monitor for patterns consistent with external invoicing (such as significant AI usage paired with little or no platform revenue) and may take action accordingly.

Pay-Per-Use Remains Available. If your free AI Agent access is revoked, you may continue to use AI Agent features by purchasing credits at the published per-use rate. We will notify you by email if your free access is revoked, and you may contact support to discuss the decision.

18. Prohibited Activities

In addition to the acceptable use requirements, you specifically agree not to:

• Send SMS/text messages or emails to any individual who has not provided explicit consent to receive such communications • Send SMS messages to numbers that have opted out or to numbers on the National Do Not Call Registry for marketing purposes • Use the Service to engage in or facilitate any fraudulent, deceptive, or misleading activity • Attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service • Use any automated means, including bots, scrapers, crawlers, or similar technologies, to access or collect data from the Service without our prior written consent • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service • Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service • Sublicense, resell, rent, lease, or otherwise commercially exploit the Service or access to the Service to any third party without our prior written consent • Use the Service to store or transmit any malware, viruses, or other harmful code • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity • Use the Service to collect or harvest Personal Information of other users without their consent • Circumvent or attempt to circumvent any rate limiting, usage limits, or other restrictions imposed by the Service

19. Intellectual Property

The Service, including its original content, features, functionality, design, user interface, source code, algorithms, and documentation, is and shall remain the exclusive property of Solvr Labs LLC and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and international jurisdictions.

The TaskLine name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Solvr Labs LLC. You may not use these marks without our prior written permission.

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a worldwide, non-exclusive, irrevocable, royalty-free, perpetual license to use, modify, and incorporate that Feedback into the Service without any obligation to you. You acknowledge that we are not obligated to use any Feedback you provide.

20. Third-Party Services and Links

The Service integrates with and relies on third-party services including Stripe (payments), Twilio (SMS/voice), Resend (email), Google Maps (geolocation), Supabase (database/auth), Upstash (caching), and Anthropic (AI). Your use of these services through TaskLine is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, content, or practices of third-party services. The inclusion of third-party integrations does not imply our endorsement or recommendation of those services.

The Service may contain links to third-party websites or resources. We provide these links for your convenience only and are not responsible for the content, products, or services offered by third parties. Your interactions with third-party services and websites are solely between you and the applicable third party.

21. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your information as described therein.

22. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLVR LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT • WARRANTIES THAT SMS OR EMAIL MESSAGES WILL BE DELIVERED SUCCESSFULLY OR IN A TIMELY MANNER • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE

YOU USE THE SERVICE AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SERVICE WILL BE COMPATIBLE WITH YOUR DEVICES, SOFTWARE, OR NETWORK ENVIRONMENT.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLVR LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES • ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS • ANY DAMAGES ARISING FROM UNDELIVERED, DELAYED, OR MISDIRECTED SMS OR EMAIL MESSAGES • ANY DAMAGES ARISING FROM AI-GENERATED CONTENT, RECOMMENDATIONS, OR ANALYSIS • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA • ANY DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY ON THE SERVICE • ANY DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF THE SERVICE

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

24. Indemnification

You agree to indemnify, defend, and hold harmless Solvr Labs LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any activity under your account • Your User Content or Client Data • Your violation of these Terms or any applicable law or regulation • Your violation of the rights of any third party, including intellectual property rights, privacy rights, or contractual rights • SMS messages sent through the Service on your behalf, including messages sent without proper consent or to opted-out recipients • Your use of AI-generated content or your reliance on AI analysis provided through the Service • Any claim by your Clients or other third parties arising from your use of the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You will not settle any claim without our prior written consent.

25. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration: You and Solvr Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved through binding individual arbitration rather than in court, except as set forth below. This arbitration agreement is governed by the Federal Arbitration Act (FAA).

Arbitration Procedure: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in Maricopa County, Arizona, or at another mutually agreed location. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND SOLVR LABS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions: The following disputes are exempt from the arbitration requirement: (a) claims that qualify for small claims court; (b) claims for injunctive or equitable relief to protect intellectual property rights; and (c) claims that applicable law does not permit to be arbitrated.

Opt-Out: You may opt out of this arbitration provision by sending written notice to jessy@solvrlabs.com within 30 days of first accepting these Terms. If you opt out, you and Solvr Labs agree to submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

30-Day Informal Resolution: Before initiating arbitration, you agree to first attempt to resolve any Dispute informally by contacting us at jessy@solvrlabs.com. If the Dispute is not resolved within 30 days, either party may proceed to arbitration.

26. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you and Solvr Labs consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona. You waive any objection to the exercise of jurisdiction over you by such courts and any objection to venue in such courts.

27. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Solvr Labs regarding your use of the Service. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

29. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms • Post the revised Terms on this page • Provide notice through the Service or via email to the address associated with your account for material changes

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.

For changes that materially reduce your rights or materially increase your obligations, we will provide at least 30 days' notice before the changes take effect.
